These Terms and Conditions (“Agreement”) govern your use of the Vizag Square online multivendor marketplace (referred to as “Vizag Square,” “we,” “our,” or “us”) and its associated services. By accessing or using Vizag Square, you agree to be bound by the terms and conditions set forth in this Agreement. Please read this Agreement carefully.
Definitions
a. “Vizag Square” refers to the online multivendor marketplace platform operated by us, which enables users to buy products and services directly from vendors. b. “Vendor” refers to any individual or business entity that offers products or services for sale on Vizag Square. c. “User” refers to any individual or business entity accessing or using Vizag Square to browse, purchase, or inquire about products and services.
Eligibility
By accessing or using Vizag Square, you represent and warrant that you have the legal capacity to enter into this Agreement and comply with its terms. If you are accessing or using Vizag Square on behalf of a business entity, you further represent and warrant that you have the authority to bind that entity to this Agreement.
Registration and Account
a. In order to access certain features of Vizag Square, you may need to create an account. You agree to provide accurate and complete information during the registration process and to keep your account information up to date. b. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized use of your account or any other breach of security. c. You are solely responsible for all content you post, transmit, or otherwise make available on Vizag Square, including product reviews, comments, and any other user-generated content.
Vendors and Products
a. Vizag Square provides a platform for vendors to sell products or services directly to users. We do not directly sell products or services, nor do we guarantee the availability, quality, legality, or safety of any vendor’s products or services. b. Vendors are responsible for ensuring the accuracy and completeness of their product listings, including prices, descriptions, images, and any other relevant information. Vendors must also comply with all applicable laws and regulations regarding product labeling, warranties, and consumer rights. c. Vendors are solely responsible for any warranties, guarantees, or claims made in relation to their products or services. Users are encouraged to review and understand the vendor’s policies before making a purchase.
User Conduct
a. You agree to use Vizag Square in compliance with all applicable laws, regulations, and this Agreement. b. You agree not to engage in any of the following prohibited activities: i. Violating any applicable laws or regulations. ii. Infringing upon the intellectual property rights of others, including copyrights, trademarks, or patents. iii. Interfering with the operation of Vizag Square or the rights of other users or vendors, including unauthorized access to accounts or systems. iv. Engaging in fraudulent or deceptive activities, such as providing false information during registration or payment processes. v. Uploading or transmitting viruses, malware, or other harmful code that may compromise the security or functionality of Vizag Square. vi. Engaging in any activity that could damage, disable, or impair Vizag Square or its infrastructure, including attempts to bypass security measures or perform unauthorized data scraping.
Intellectual Property
a. Vizag Square and its associated trademarks, logos, and content are owned by or licensed to us. You may not use, copy, reproduce, modify, distribute, or create derivative works of any part of Vizag Square without our prior written consent. b. By posting, transmitting, or otherwise making available any content on Vizag Square, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, distribute, and display that content for the purpose of operating and promoting Vizag Square.
Dispute Resolution
a. Any dispute arising out of or relating to this Agreement or your use of Vizag Square shall be resolved through negotiation and, if necessary, through binding arbitration conducted in the jurisdiction where Vizag Square is operated. b. The arbitration shall be conducted in accordance with the rules and procedures of the chosen arbitration service provider. The decision of the arbitrator shall be final and binding on both parties. c. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Vizag Square.
Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of Vizag Square, even if we have been advised of the possibility of such damages. We do not guarantee the continuous, uninterrupted, or error-free operation of Vizag Square, and we are not responsible for any delays, inaccuracies, or errors in the content or operation of Vizag Square.
Modifications to the Agreement
We reserve the right to modify or update this Agreement at any time, and the updated Agreement will be effective upon posting. Your continued use of Vizag Square after any such modifications constitutes your acceptance of the updated Agreement.
Termination
We may terminate or suspend your access to Vizag Square at any time, with or without cause, without prior notice or liability. Upon termination, you agree to cease all use of Vizag Square and delete any content or information associated with your account.
Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.
Entire Agreement
This Agreement constitutes the entire agreement between you and Vizag Square, superseding any prior or contemporaneous agreements, communications, or understandings.
